There are two significant potential types of transition events involving the ownership of a medical billing company: (a) the admission and retirement of shareholders, and (b) the sale of the company to an industry consolidator or private equity. When the shareholders and management of the company are making decisions without full knowledge of all of the facts, then the situation is ripe for infighting, conflict, and negative results. Both types of transition events require careful planning, and a comprehensive understanding of the pros and cons of various alternatives. With respect to shareholders transitions, this presentation will provide the owner/manager with tools to construct a fair (to the shareholders and the company) buy/sell formula and process. With respect to selling the company, this presentation will address: (a) preparing your business for sale, (b) the process of taking the company to market, (c) and what life is like after the sale. The presentation will also address current trends and factors to be considered if the company is contemplating selling.

Course participants will be able to:
- Understand that the transition in equity ownership of a medical billing company must be planned for and carefully managed, whether the transition involves individual shareholder transactions or selling the entire company.
- Understand that the financial value (or price) at which these transition events take place is only part of the equation; the non-price parameters will survive the transaction and have a long term impact on the participants.
- Recognize that transition events are inevitable, and that good planning will help to minimize potential conflict and maximize the success of a transition event.
Speaker Bio:
I am a Managing Director of Haverford Healthcare Advisors, a consulting firm I co-founded in 1994. Haverford provides valuation advisory and transaction advisory services to healthcare services entities, including specialty physician practices (such as pathology, radiology, anesthesiology, cardiology, primary care, etc.), clinical laboratories, imaging centers, medical billing companies, ambulatory surgery centers, management services organizations, and others. Over a 40+ year career, I have worked with thousands of healthcare businesses, helping them solve issues that impact all of the stakeholders of the organizations. In 1994, I co-founded Aurora Diagnostics, LLC, which grew to be the largest privately held pathology practice in the country, prior to being acquired by Sonic Healthcare USA a couple of years ago.
I have a BS in Statistics from Dartmouth College, and an MS in Finance from Drexel University. I have been an Accredited Senior Member of the American Society of Appraisers since 1989, and a Chartered Financial Analysist since 1990. I have been an active member of the RBMA for decades, and have served on various national committees. I am a former President of the Northeast Chapter of the RBMA, and have been on the Board of the Northeast Chapter for many years.
I am married to Bernadette (Bunny), and have two fantastic sons of whom I could not be more proud. Tim is 37, married, with three children, and owns his own business. Shane is 21, owns his own business, and is a senior at Franklin & Marshall, where he plays baseball. I have participated in numerous charitable organizations over the last ten years, including the Bryn Mawr Rehab Foundation, the Juvenile Diabetes Research Organization, and a Mother’s Wish. I am a former member of the Board of Directors of Bryn Mawr Rehab Foundation, and for many years was on the Board of Directors of the Philadelphia Dartmouth Alumni Association, including serving as President for two terms.
